Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your use of the JK Dreaming website and any web design, development, SEO, or marketing services we provide. By accessing our site, submitting a project request, or signing a proposal, you agree to these Terms and any supplemental written agreements.

2. Services & Engagements

• Services are scoped through written proposals, statements of work, or invoices. Only items listed in the signed document are included.
• JK Dreaming may subcontract trusted partners (copywriters, illustrators, developers) while remaining the primary point of contact.
• Discovery, assets, approvals, and access credentials requested from the client must be provided in a timely manner to meet timelines.
• We reserve the right to suspend work if invoices remain unpaid or if cooperation is not provided.

3. Intellectual Property

Upon receipt of full payment, final deliverables (design files, code, copy written by JK Dreaming) become the client’s property. JK Dreaming retains ownership of pre-existing tools, libraries, and internal frameworks, and grants the client a non-exclusive license to use them as part of the project.

JK Dreaming reserves the right to display completed work in portfolios, case studies, and marketing materials unless a mutual NDA explicitly forbids it.

4. Client Responsibilities

• Provide accurate information, licensed assets, and timely feedback.
• Ensure all provided content complies with applicable laws and does not infringe third-party rights.
• Maintain backups of assets and credentials shared with JK Dreaming.
• Designate a single point of contact empowered to make approvals.

5. Payment & Refunds

Payment terms are specified in each proposal. Invoices are due upon receipt unless otherwise stated. Late payments may incur a 1.5% monthly late fee and may result in pausing work. Deposits and milestone payments are non-refundable once work for that phase begins. Hosting, domains, ads, and third-party subscriptions are billed separately and must remain in good standing.

6. Revisions & Change Requests

Each phase includes a specified number of revision rounds. Additional revisions or scope changes will be billed at our current hourly rate or added as a change order. JK Dreaming is not responsible for delays caused by scope changes or late approvals.

7. Warranties & Disclaimers

• We warrant that delivered work will substantially conform to the agreed specifications for 30 days after launch.
• We do not guarantee specific search rankings, traffic, or revenue outcomes.
• All services are provided on an "as is" basis without implied warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the fullest extent permitted by law, JK Dreaming is not liable for indirect, incidental, or consequential damages arising from the use of our services. Our total liability under any agreement is limited to the amount paid to us for the services giving rise to the claim.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement, including code repositories, credentials, business strategies, or trade secrets. We maintain secure storage and limit access to project-critical staff only.

10. Term & Termination

Either party may terminate the engagement with written notice if the other party materially breaches these Terms and fails to cure within 10 days. Upon termination, the client must pay for all work completed to date and any non-cancellable expenses.

At the conclusion of the project (or termination upon payment), we will deliver agreed assets and revoke access to shared environments.

11. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict of law principles. Any disputes will be resolved through good-faith negotiation, and if unresolved, in the state or federal courts located in Hamilton County, Ohio.
